Scope
These Terms of Service govern use of the Luntive marketing website and the Luntive tenant application. In these Terms:
- Customer means the business using Luntive.
- Authorized User means a staff member or other person the Customer permits to use Luntive.
- Account means an individual login used to access Luntive.
- Business Workspace means the Customer's tenant or business record in Luntive.
The Customer is responsible for ensuring that its Authorized Users understand and follow these Terms and the related Legal Center documents.
These Terms are between Imran Bhuiyan, an individual operator in New York, and the Customer. Imran Bhuiyan operates Luntive.
Eligibility
Luntive is intended for business use. A person creating or using an Account must have authority to act for the Customer or must be authorized by the Customer to use the service. The service is not intended to be used for personal consumer purposes.
Accounts
The Customer is responsible for its Account credentials, Authorized Users, account security, and the accuracy of information provided to Luntive. The Customer should limit access to people who need it, protect credentials, and promptly address suspected unauthorized use. The Customer is also responsible for activity carried out through its Accounts, subject to applicable law and the facts of the situation.
Subscription and Services
Luntive is provided as a software-as-a-service platform that supports configured business workflows. The available services and features may depend on the Customer's plan and applicable service arrangements.
Standard paid subscriptions are billed on a monthly basis and renew automatically unless cancelled before the renewal date. Payment is processed through Stripe. Cancellation takes effect at the end of the current paid billing period, and the Customer retains access through the end of that period, subject to applicable suspension or service limitations. Standard-plan payments are generally non-refundable for unused time following cancellation. The Billing, Cancellation & Refund Policy describes current subscription billing, cancellation, and refund terms in detail. Custom Commercial arrangements may have separate negotiated billing and payment terms.
Customer Responsibilities
The Customer is responsible for:
- Information entered into or connected to Luntive.
- Having the permissions needed to use that information and content.
- Lawful and appropriate use of the service.
- Workflows, instructions, and configurations created by the Customer.
- Reviewing important AI-assisted outputs and communications.
- Having authorization before using website import.
- Decisions and communications made through the Customer's Account.
AI Features
Luntive may use AI-assisted features including the AI Receptionist, Communication Assistant, Appointment Coordinator, Lead Manager, website import, drafting, and summaries. The AI Disclosure describes these features and their limitations.
AI output may be inaccurate, incomplete, outdated, or unsuitable for a particular situation. The Customer remains responsible for reviewing important output and for its decisions, communications, and business processes. Luntive does not guarantee the accuracy or suitability of AI output.
Website Import
The Customer must have permission to submit a website URL and authorize processing of the website content through Luntive. The Customer remains responsible for reviewing imported information and for its authority to use that information. The Website Import Authorization provides additional context.
Acceptable Use
The Customer and its Authorized Users must use Luntive lawfully and responsibly. Prohibited conduct includes misusing accounts or security controls, attempting unauthorized access, using AI-assisted features to generate deceptive or harmful content, violating third-party intellectual-property or privacy rights, sending unauthorized bulk communications, and similar conduct that harms the service, other customers, or third parties.
Violations or suspected misuse may result in investigation, feature limits, suspension, or other appropriate action. Luntive does not promise immediate termination for every suspected violation.
Customer Content
The Customer retains its ownership of business information, content, instructions, and other materials it provides to Luntive. The Customer grants Luntive only the permissions reasonably necessary to host, process, transmit, display, and otherwise operate Luntive for the Customer's configured workflows and to provide related support and security functions.
The Customer is responsible for having the rights and permissions needed for its content and for the consequences of content it provides or directs Luntive to process.
Intellectual Property
Luntive owns or has rights to use the Luntive software, branding, code, documentation, service design, and related materials. Except for the limited rights needed to use the service, these Terms do not transfer Luntive's intellectual property to the Customer.
The Customer retains its rights in its business information and Customer Content. The Customer does not receive ownership of Luntive's software, branding, code, or documentation by using the service.
Third-Party Services
Luntive may rely on third-party services, including Supabase, Retell, Google Calendar, Google Gemini, Stripe, Resend, Upstash QStash, Upstash Redis, Geoapify, Cloudflare Turnstile, and Vercel. The Privacy Policy describes how information is handled with these providers.
Third-party services may have their own terms, configurations, availability, and limitations. Luntive does not make unsupported promises about third-party service behavior.
Availability
The service may change over time, including changes to features, workflows, integrations, or configurations. Maintenance, updates, provider issues, or other circumstances may affect availability. Luntive does not promise uninterrupted service or a particular uptime level.
Security
Luntive uses reasonable safeguards intended to protect the service and information handled through Luntive, including tenant data isolation, access controls, encrypted credentials, and audit records for administrative actions. No system can be guaranteed completely secure, and the Customer remains responsible for appropriate credential and access practices.
Privacy
The Privacy Policy describes how Luntive handles information through the website and the Luntive service. These documents should be read together with these Terms.
Suspension
Luntive may suspend or restrict access when appropriate, including to address nonpayment or unresolved payment failure, violations or suspected violations of these Terms, unlawful or fraudulent use, abusive or harmful conduct, abuse of AI-assisted features, calling workflows, or communications automation, security threats or suspected unauthorized access, platform or provider integrity requirements, legal or government obligations, or material risk to Luntive, its customers, or third parties. Suspension does not require that a suspected issue be ultimately established. Where appropriate, Luntive may consider the circumstances and impact before acting. The Billing, Cancellation & Refund Policy describes access restrictions that may apply following failed payments.
Termination
Either the Customer or Luntive may end the service relationship, subject to any separate commercial terms and applicable law.
Luntive may end access to the service, terminate an Authorized User's access, or end the service relationship with a Customer where appropriate, including for material or repeated violation of these Terms, unlawful or fraudulent use, abusive or harmful conduct, serious security threats or attempted unauthorized access, nonpayment or unresolved payment failure, provider or legal requirements, or material risk to Luntive, its customers, or third parties, to the extent permitted by applicable law. Luntive will apply reasonable judgment in doing so.
On termination, the Customer should stop using the affected service and ensure that its Authorized Users do the same. Suspension or termination of access by Luntive does not by itself delete Customer workspace data or account information; data retention and deletion are governed separately by the Privacy Policy and the Account Deletion Policy.
Provisions that by their nature should survive termination may do so, including accrued payment obligations, intellectual-property provisions, disclaimers, limitations of liability, indemnification, and similar provisions.
Account deletion and subscription cancellation are separate actions. Cancellation ends the subscription at the close of the current paid billing period; account and workspace data may remain until a separate account deletion request is completed. Eligible Customers may initiate self-service account deletion through the Luntive application. Identity and account ownership are verified before deletion. Deletion is irreversible after completion. Certain limited records may be retained where required or permitted by law, or for security, fraud prevention, compliance, billing, or audit purposes.
Disclaimers
To the extent permitted by applicable law, Luntive is provided as available and based on the current service configuration. Luntive does not guarantee uninterrupted service, that every workflow will operate without error, or that AI-assisted output will be accurate or suitable for a particular purpose. The Customer remains responsible for professional judgment, business decisions, customer communications, and review of important outputs.
Nothing in these Terms is intended to provide legal, tax, accounting, medical, or other professional advice.
Limitation of Liability
To the extent permitted by applicable law, Luntive would not be responsible for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising from or related to the service or these Terms. The applicability and scope of any direct-damages limitation, exclusions, exceptions, and treatment of amounts paid depend on the applicable agreement and law.
These Terms do not attempt to limit liability where applicable law does not permit that limitation.
Indemnification
The Customer may be responsible for claims arising from the Customer's or its Authorized Users' misuse of Luntive, Customer Content, violation of these Terms, or infringement of another person's rights, subject to applicable law and the applicable agreement. The scope, procedures, exclusions, and limitations of any indemnification obligation depend on the applicable agreement and law.
Governing Law
The governing law is determined by the applicable agreement and law.
Changes
Luntive may update these Terms as the service, Customer workflows, and legal review develop. Future versions will include a version number, effective date, and updated date. These Terms do not promise a fixed advance-notice period.
